Gugushev & Partners Law Office advised Markan OOD, a leading Bulgarian construction company and part of Markan Holding AD, in connection with the corporate restructuring of companies within the group. The restructuring was implemented through a series of corporate reorganisations, including demergers and mergers, followed by a capital increase through in-kind contributions in the project company.

The chosen structure facilitated more efficient management of the companies and the optimisation of the costs of the entity implementing the client’s investment project – a mixed-use building located on one of Sofia’s main thoroughfares, combining Class A office space and a hotel operated under an international brand.

As part of the engagement, the law office assisted with the preparation of all documents required for the successful implementation of the restructuring, as well as with the related corporate actions and formalities.
