Gugushev & Partners Law Office advised Kömmerling SEE OOD, a joint venture between German company Profine GmbH, a leading global supplier of window and door systems, and Bulgarian company Linkin Capital AD, operating in the production of PVC and aluminium profiles.

The law office’s engagement involved structuring the new joint venture, which acquired the business operations, trademark and technical assets of Profilink, a leading Bulgarian manufacturer with more than 30 years of market presence. The establishment of the joint venture was aimed at creating a strategic regional platform for the expansion of Profine GmbH’s operations in Southeast Europe.

As part of the transaction, our corporate and M&A team prepared and negotiated the shareholders’ agreement, which governed the rights and obligations of the shareholders and the key principles for the joint management of the company. The law office also developed a bespoke dividend distribution mechanism linked to the company’s financial performance, projected revenue growth and the realisation of synergies within the group.
