Gugushev & Partners Law Firm advised the founders of a Bulgarian company specialising in the management of rental properties in connection with the sale of a majority stake in the company to Renters Sp. z o.o., one of Poland’s leading operators in the short-term and holiday accommodation sector.

The transaction represented Renters Sp. z o.o.’s first cross-border acquisition and formed part of its strategy to expand and consolidate its presence in the tourism accommodation market across Central and Eastern Europe. The acquisition was backed by private equity fund Enterprise Investors.

Gugushev & Partners advised the sellers throughout the transaction, from structuring the deal through to the preparation, negotiation and execution of the principal transaction documents. The engagement included advising on and negotiating the share purchase agreement and shareholders’ agreement, as well as preparing the other transaction documents and corporate approvals required for closing.

Following completion, the law office also advised the company in connection with the acquisition from a Polish company of a portfolio of lease and property management agreements relating to real estate on the Bulgarian Black Sea coast. As part of this engagement, the team conducted legal due diligence focusing on the key legal risks associated with the customer agreements and advised on the transaction structure and documentation required to implement the acquisition.
