Gugushev & Partners Law Office advised the shareholders of Debt Collection Agency AD (DCA), a company specialising in the acquisition of receivables from banks, financial institutions and utility companies, in connection with the sale of 100% of the company’s share capital to Ultimo Holland B.V., a subsidiary of Norwegian company B2 Holding.

The transaction also included ASV’s Romanian subsidiary and its Bulgarian subsidiary Smart Collect EOOD, specialising in the collection of receivables from legal entities.

Our work included legal advice throughout the transaction, as well as the preparation and negotiation of the share purchase agreement, management agreements and the documentation required for closing the transaction.

Following the acquisition, we continued to advise the client on a day-to-day basis on various corporate matters, as well as on the implementation of Regulation (EU) 2016/679 (General Data Protection Regulation), acting as the client’s Data Protection Officer. We also advise the client on intellectual property matters relating to the use of specialised debt collection software.
