Gugushev & Partners Law Office advised BlackPeak Capital, one of the leading private equity funds in Southeast Europe, in connection with the acquisition of a stake in Telelink Bulgaria AD. The company is the parent company of Telelink Infra Services EAD, an established provider of network infrastructure services and solutions relating to critical infrastructure in Central and Eastern Europe.

Acting as lead legal counsel to the client, Gugushev & Partners conducted comprehensive legal due diligence of Telelink Bulgaria AD and the foreign companies within the group. The team led the international legal due diligence process, including the involvement of foreign law firms across five jurisdictions, and consolidated the findings of their work in connection with the transaction.

Based on the due diligence findings, Gugushev & Partners also advised the client on the structuring and implementation of the investment. The team prepared and led negotiations on the share purchase and subscription agreement, the shareholders’ agreement and the remaining transaction documentation required to complete the transaction.

The engagement covered the key stages of the investment process, from legal due diligence and the management of the international legal workstream through to the structuring, negotiation and completion of the transaction.
